Digitify - Terms of Service

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User”) and Digitify (“Company”, “we”, “our”), governing your access to and use of the Digitify platform available at https://digitify.app, including its dedicated interfaces at digitify.app/app and digitify.app/track (collectively, the “Platform”). By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must immediately discontinue use of the Platform.

1. Eligibility and Account Registration

Use of the Platform is permitted only to individuals who are at least eighteen years of age and possess the legal capacity to enter into contracts. To access certain features, you may be required to create an account using accurate and current information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. If you create an account on behalf of a business or organisation, you confirm that you are authorised to bind that entity to these Terms.

2. Nature of Services

Digitify provides a cloud-based business management system designed primarily for transport and logistics workflows. The Platform enables Users to create and maintain operational records, manage trips, generate summaries and invoices, track activities, and utilise various administrative and reporting tools. The Platform may evolve over time, and Digitify may introduce, modify, or discontinue functionalities at its discretion.

3. Data Security and Encryption

Digitify places strong emphasis on data protection. All data transmitted through the Platform is secured using end-to-end encryption. Data stored on our infrastructure is encrypted and protected using industry-standard security measures. While we implement advanced security systems, you acknowledge that no online platform can guarantee absolute protection, and you agree to use the Platform with this understanding.

4. User Content and Responsibilities

You may upload, enter, or generate operational information, customer data, transaction details, documentation, or other content (“User Content”). You are solely responsible for ensuring that all User Content is accurate, lawful, and obtained with appropriate permissions. Where User Content includes personal or business information belonging to your customers or associates, you confirm that you have obtained their authorisation to submit such information to the Platform. Digitify does not review or verify User Content and shall not be liable for errors, omissions, inaccuracies, or disputes arising from it.

You agree not to misuse the Platform in any manner, including attempting to interfere with Platform functionality, uploading harmful code, circumventing security systems, engaging in unlawful activities, or using the Platform to violate intellectual property or privacy rights.

5. Identity Verification and Documentation

Certain features of the Platform may require identity verification or submission of relevant business documents. Digitify may request identification records, business certificates, or any other documents deemed necessary for compliance or security-related purposes. Failure to provide requested information may restrict access to specific services. You confirm that all documents and information submitted for verification are current, true, and authentic.

6. Third-Party Services

The Platform may integrate or interact with tools and services operated by third parties. Such services are not controlled by Digitify, and their availability, accuracy, performance, and security remain the responsibility of the respective providers. Your use of third-party services is voluntary and at your own risk. Digitify shall not be held responsible for any loss, damage, downtime, or issues arising from third-party integrations.

7. Intellectual Property

Digitify retains exclusive ownership of all intellectual property associated with the Platform, including all software, databases, code, designs, interfaces, and branding. No rights are granted to you other than a limited, revocable permission to access and use the Platform as permitted under these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Platform without prior written consent from Digitify.

8. Fees and Payments

Access to certain features may require subscription payments or service-related fees. Pricing information is communicated within the Platform or through official channels. Failure to pay applicable charges may result in suspension of access. Digitify reserves the right to revise fees or introduce new charges, subject to reasonable notice where applicable.

9. Platform Availability and Changes

Digitify aims to provide reliable service; however, the Platform may experience interruptions due to maintenance, upgrades, network issues, or other unforeseen circumstances. Digitify does not guarantee uninterrupted or error-free operation. We may update, modify, suspend, or discontinue any feature or part of the Platform at any time without liability.

10. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. Digitify makes no warranties of any kind, express or implied, regarding the performance, accuracy, reliability, or suitability of the Platform for your purposes. Digitify is not a financial institution, intermediary, or payment processor and does not handle or guarantee any payments made outside the Platform. You agree that your use of the Platform is solely at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, Digitify shall not be liable for any indirect, incidental, or consequential damages, including business loss, loss of data, lost profits, or loss arising from third-party failures, outages, inaccuracies, or interruptions. Digitify’s aggregate liability for any claim shall not exceed the total amount paid by you to Digitify, if any, in the ninety days preceding the claim.

12. Indemnification

You agree to indemnify and hold Digitify, its employees, officers, and affiliates harmless from any claims, liabilities, damages, expenses, or disputes arising from your use of the Platform, your User Content, your breach of these Terms, or any action taken by a third party using your account.

13. Data Use and Legal Compliance

Digitify may process and analyse non-personal or anonymised data to enhance Platform performance, improve features, and support business analytics. Digitify may also disclose information when required to comply with legal obligations, law-enforcement requests, or regulatory directives.

14. Cancellation and Refunds

Digital payments processed through any mode cannot be cancelled after it is completed. Digitify is not responsible for payments made to incorrect accounts due to User error. Any concerns must be reported via our official support channels.

15. Termination

Digitify may suspend or terminate your access to the Platform if you violate these Terms, provide false information, engage in misconduct, or misuse the Platform. You may stop using the Platform at any time. Provisions concerning intellectual property, limitation of liability, indemnity, and data rights shall survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall be resolved in accordance with the Arbitration and Conciliation Act, 1996. The proceedings shall be conducted in English before a sole arbitrator appointed by Digitify. Courts located in the same city shall have exclusive jurisdiction over matters not covered by arbitration.
